Data room for Canadian venture capital funds

Canadian venture capital funds use data rooms in two directions: to review startups before investing, and to share fund documents and portfolio reports with their own limited partners, including BDC Capital and the fund-of-funds backed by the Venture Capital Catalyst Initiative.

How it works in Canada

Canada's venture market leans heavily on public and quasi-public capital. BDC Capital invests directly in startups and as a limited partner in private funds, and federal programs such as the Venture Capital Action Plan and the renewed Venture Capital Catalyst Initiative have put money into private fund-of-funds that back Canadian managers. Provincial players, such as Investissement Québec, add to that. A fund manager reports to all of them, often in a set format, alongside pension plans, family offices and high net worth LPs.

On the investing side, a fund runs many deals each year. Associates review dozens of startup rooms, and the fund's counsel drafts from the CVCA model documents. Funds that lead rounds often open their own deal room for co-investors, sharing the term sheet, diligence memo and legal drafts so co-investors can approve quickly. After closing, the same documents move into the portfolio record that the fund keeps for its own auditors.

Partners need one place for fund documents, portfolio data and deal files, with access that matches each LP's rights. Auditors want the valuation support behind every quarterly mark. Program LPs want diversity and impact data in their own format. Co-investors want the deal memo but not the other holdings. A single room with clear groups handles all of these without copying files into separate drives, and the activity log shows the fund met each reporting obligation on time.

Canadian rules that apply

Venture Capital Catalyst Initiative

Announced in Budget 2021, the renewed VCCI committed C$450 million: C$350 million to fund-of-funds, C$50 million to life sciences and C$50 million to inclusive growth. Funds backed through the program report to their fund-of-funds, so LP reporting folders should follow those templates.

Registration under NI 31-103

A fund manager that manages an investment fund or trades securities may need to register as an investment fund manager or exempt market dealer, or rely on an exemption. Keep the registration analysis and any OSC or AMF filings in the fund folder.

Accredited investor exemption

Fund interests are sold to LPs under the NI 45-106 accredited investor exemption, with a Form 45-106F1 filed for each close. Each LP's subscription agreement and status certificate should sit in a folder visible only to that LP and the manager.

  • Activity log. Per-user history of opens, prints and downloads with timestamps, which you can export for the closing binder.
  • Dynamic watermarks. The reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
  • Q&A module. Bidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.
  • Single sign-on. Staff log in with the company directory (Okta, Microsoft Entra ID and similar) instead of a separate password.
  • 2-step login. Logins need a one-time code or authenticator approval on top of the password.

How to set it up

  1. 1
    Separate fund and deal rooms

Keep a long-running fund room for LP documents and reporting and open a new room for each investment. Mixing them makes it too easy to show LPs deal files they should not see, or founders the fund's LP list.

  2. 2
Give each LP its own folder

Create a folder for each LP's subscription, side letter and capital account, visible only to that LP and the manager. Common documents such as the LPA and quarterly letters sit in a shared folder.

  3. 3
    Load program templates

If BDC Capital or a VCCI fund-of-funds is an LP, ask for its reporting templates and diversity data requests at the start. Building the folder structure around them saves rework every quarter.

  4. 4
    Use one deal room template

Set a standard index for portfolio diligence, built around the CVCA model representations, and copy it for every new deal. Associates then know where to look and can compare companies easily. Update it when the CVCA models change.

  5. 5
    Review access every quarter

When a partner leaves, an LP transfers its interest or a deal dies, remove access the same week. A quarterly review against the activity log catches anything missed. Record each review in the compliance folder.

Common mistakes

  • Using one folder for all side letters so every LP can read every other LP's terms.
  • Letting startup founders see the fund's portfolio folder when they are added to a deal room.
  • Building quarterly reports by hand each time instead of using the fund-of-funds templates.
  • Keeping departed staff in the fund room for months after they leave.

FAQ

Do Canadian VC funds need a separate room for each portfolio company?

For new investments, yes. A deal room per target keeps founders' documents apart and closes cleanly if the deal dies. After closing, many funds move the key documents into a portfolio folder in the fund room so partners and auditors can find them later.

How do funds share reports with BDC Capital and fund-of-funds LPs?

Most post quarterly capital account statements, valuations and partner letters to a shared reporting folder, and any program-specific reports, such as diversity data, to the relevant LP's private folder. The activity log shows when each LP opened the report, which helps with follow-up questions.

Should side letters be visible to all LPs?

No. Side letters are private to each LP. Many LPAs include a most-favoured-nation clause, and the manager then sends a compendium of eligible terms to qualifying LPs. Keep the full letters in each LP's own folder and share the compendium separately.
