What Canadian buyers should know

Datasite pricing is by quote, so ask for a Canadian dollar figure and check whether GST or HST is added. A Canadian hosting region is not published by the vendor; ask the vendor directly if a pension fund, Crown corporation or hospital buyer needs Canadian residency. Raise PIPEDA s. 7.2 business-transaction terms and, for Quebec personal information, a Law 25 s. 17 assessment. Ask about French-language support for Quebec bidders.

Rows marked Flat or Per user start from the price each vendor lists in US dollars, turned into Canadian dollars at the Bank of Canada rate for October 16, 2026 (US$1 = C$1.4154) and taxed at your province's rate. Rows marked Estimate belong to vendors that keep prices private; for them we show the range we see for the kind of project you chose, which is not that vendor's own figure. For planning only.

The product in brief

Datasite dates from 1999, with its head office in the United States. It is built around sell-side M&A run by banks and large advisers: Q&A, dynamic watermarks, view and download rights, redaction, an activity log and 2-step login are all listed. AI tools are listed too, and a native mobile app lets deal leads check bidder activity and answer questions away from a desk, which helps on a busy auction week.

Analytics are a big part of the pitch, giving advisers a view of which bidders spend time in which folders before a second-round letter goes out. Single sign-on suits banks and corporates that require it for every outside system. In July 2021 Datasite acquired 100% of Firmex, the Toronto-based data room company, and runs it as a standalone business unit, so Canadian buyers may meet both names in the same market.

Pricing is custom and no free trial is listed; a demo comes on request. That model fits large deals where the room cost is a small line in the adviser's budget, but it means the Canadian dollar cost is only known after a sales conversation. No public API or built-in e-signature appears in the vendor documentation we reviewed, so NDAs are usually signed in a separate tool before guests are invited.

Feature check

FeatureDatasiteWhat it does
Q&A moduleYesBidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.
Activity logYesPer-user history of opens, prints and downloads with timestamps, which you can export for the closing binder.
Dynamic watermarksYesThe reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
In-room redactionYesHide social insurance numbers, pay figures or client names on the platform itself, without keeping two versions of the file.
E-signatureNot listedConfidentiality agreements and closing papers can be executed on the platform.
Mobile appYesAn installable phone or tablet app, beyond the responsive web view.
Public APINot listedProgrammatic access for creating rooms, adding users or exporting activity to other systems.
Single sign-onYesStaff log in with the company directory (Okta, Microsoft Entra ID and similar) instead of a separate password.
2-step loginYesLogins need a one-time code or authenticator approval on top of the password.
Bulk uploadYesUpload an entire set of nested folders at once, with the index numbers kept as they were.
View and download rightsYesChoose, document by document, whether a guest may only read, may print or may download, and change it later.
AI helpYesVendor-listed automation such as sorting uploads into the index, summarizing long agreements, searching the room or proposing answers.

Security and compliance

Datasite lists SOC 2 and ISO 27001 and GDPR, 2-step login and single sign-on. For a Canadian deal, ask for the latest SOC 2 report or ISO certificate, a data processing agreement that covers PIPEDA, and for Quebec personal information, the details you need for a Law 25 privacy impact assessment.

Getting started and help

Onboarding starts with a demo and a quote; no free trial is listed. The vendor's team typically helps set up the room, and bulk upload carries existing folders across. SSO can be connected for corporate users. Support is rated 9.3 in our ratings; ask which hours and languages apply to Canadian clients.

What to check before you sign

  1. Upload a real folder tree (minute books, financials, contracts) and check the numbering survives.
  2. Create two bidder groups and confirm neither can see the other's files, questions or activity.
  3. Open a watermarked PDF as a guest and print it: is the name, email and time on every page?
  4. Ask the vendor in writing where data is hosted and who the sub-processors are.
  5. Check whether invoices can be in Canadian dollars and how GST/HST is charged.
  6. Run one question through the Q&A workflow from a bidder to an expert and back.
  7. Export the activity log and check it is complete enough for a closing file.
