The product in brief

ShareFile dates from 2005, with its head office in the United States. It is widely used by accounting firms, law firms and wealth managers to exchange files with clients. It lists watermarks, view and download rights, an activity log, 2-step login, bulk upload, e-signature, single sign-on, a public API and a native mobile app, which together cover most of what a professional firm needs for client file exchange.

It is not a dedicated deal room: no Q&A module, no in-room redaction and no AI tools appear in the vendor documentation we reviewed. For a small transaction with one buyer, or as a standing client portal, it can be enough, especially when a firm already uses it day to day and its clients know the login screen. Larger auctions with many bidders usually call for a purpose-built room.

The price is published from US$55 a month, about C$78, and a free trial is available. Certifications listed include SOC 2, ISO 27001 and HIPAA. Ease of use is rated 8.8, so clients who log in a few times a year to drop off documents rarely need instructions. Firms that already use it for tax season can extend the same setup to a small sale or financing.

Q&A moduleNot listedBidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.
Activity logYesPer-user history of opens, prints and downloads with timestamps, which you can export for the closing binder.
Dynamic watermarksYesThe reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
In-room redactionNot listedHide social insurance numbers, pay figures or client names on the platform itself, without keeping two versions of the file.
E-signatureYesConfidentiality agreements and closing papers can be executed on the platform.
Mobile appYesAn installable phone or tablet app, beyond the responsive web view.
Public APIYesProgrammatic access for creating rooms, adding users or exporting activity to other systems.
Single sign-onYesStaff log in with the company directory (Okta, Microsoft Entra ID and similar) instead of a separate password.
2-step loginYesLogins need a one-time code or authenticator approval on top of the password.
Bulk uploadYesUpload an entire set of nested folders at once, with the index numbers kept as they were.
View and download rightsYesChoose, document by document, whether a guest may only read, may print or may download, and change it later.

Security and compliance

Citrix ShareFile lists SOC 2 and ISO 27001 and HIPAA, 2-step login and single sign-on. For a Canadian deal, ask for the latest SOC 2 report or ISO certificate, a data processing agreement that covers PIPEDA, and for Quebec personal information, the details you need for a Law 25 privacy impact assessment.

Getting started and help

Sign-up opens a free trial, and the monthly price is published. Admins create client folders, set permissions and send signature requests. SSO and the API are available for larger firms. Support is rated 7.6 in our ratings; ask the vendor about hours for Canadian clients.

What to check before you sign

  1. Upload a real folder tree (minute books, financials, contracts) and check the numbering survives.
  2. Create two bidder groups and confirm neither can see the other's files, questions or activity.
  3. Open a watermarked PDF as a guest and print it: is the name, email and time on every page?
  4. Ask the vendor in writing where data is hosted and who the sub-processors are.
  5. Check whether invoices can be in Canadian dollars and how GST/HST is charged.
  6. Run one question through the Q&A workflow from a bidder to an expert and back.
  7. Export the activity log and check it is complete enough for a closing file.
