Virtual data rooms in Quebec

Quebec deals run under their own privacy law, Law 25, which requires a privacy impact assessment before personal information leaves the province. Securities matters go to the Autorité des marchés financiers (AMF), and the Charter of the French Language shapes which documents must exist in French. A business buyer pays GST 5% plus QST 9.975%, a combined 14.975%.

The deal market in Quebec

Montreal is the centre of Quebec's deal market and the country's second capital pool. CDPQ, one of Canada's largest pension investors, is based in the province, as are the Fonds de solidarité FTQ, Investissement Québec, National Bank and Desjardins. These institutions back a large share of Quebec buyouts, growth rounds and infrastructure deals, often as co-investors with local private equity firms. Bilingual law and accounting firms on both sides of the deal mean most rooms carry documents in French and English, with indexes in both languages.

Aerospace, artificial intelligence and life sciences drive much of the technical diligence. Greater Montreal is home to Bombardier, CAE, Pratt and Whitney Canada and the A220 assembly line in Mirabel, along with hundreds of suppliers. The Mila research institute anchors an AI cluster that draws venture capital and foreign acquirers, and the city's biotech and contract research companies sell or license assets to global drug makers. Quebec City adds insurance and financial services, with major insurers headquartered in the region.

Succession is a constant theme. A large generation of Quebec business owners is retiring, and many family manufacturers, food processors and service companies pass to children, employees or outside buyers. Resource deals add a further layer: gold in Abitibi-Témiscamingue, iron ore on the Côte-Nord and lithium in the James Bay region produce exploration financings, joint ventures and agreements with Cree and other First Nations. Those mining deals often sit beside hydroelectric and transmission questions, since Hydro-Québec controls most power supply in the province and new industrial projects need a power allocation before they can be financed.

Sectors that fill data rooms

Aerospace and defence

Supplier acquisitions and carve-outs in the Montreal aerospace cluster bring export control files, Controlled Goods Program registrations, long-term supply contracts and quality certifications into the room, with access limited to cleared reviewers.

Artificial intelligence and software

Montreal AI and software companies raise venture rounds and sell to foreign buyers. Rooms hold model and data licences, research agreements with universities, Quebec tax credit files and Law 25 privacy assessments for training data that includes personal information.

Life sciences

Biotech, contract research and medical device firms license molecules and sell platforms to international partners. Clinical trial files, Health Canada licences, patent families and manufacturing quality records make up most of the diligence set.

Mining and critical minerals

Gold, iron ore, graphite and lithium projects raise money and form joint ventures under NI 43-101 disclosure. Buyers review mining titles from the provincial claims system, environmental assessments and agreements with Indigenous communities and regional governments.

Family business succession

Quebec's wave of retiring owners creates steady demand for clean, bilingual document sets. Sellers gather financial statements, shareholder agreements, notarial deeds for real property and employee files in French before any buyer is invited in.

Rules that touch the room

01
Law 25 and the private sector privacy act

Quebec's Act respecting the protection of personal information in the private sector, as amended by Law 25, applies instead of PIPEDA for most in-province activity. Section 17 requires a privacy impact assessment before personal information is communicated outside Quebec, and section 18.4 allows disclosure for a commercial transaction under a written agreement. Penalties reach C$25 million or 4% of worldwide turnover.

02
Autorité des marchés financiers

The AMF regulates securities, insurance and deposit institutions other than banks under one roof. Quebec's Securities Act requires a prospectus and certain other offering documents to be in French, or in French and English, so public offerings that reach Quebec investors carry a French version in the room.

03
Charter of the French Language (Bill 96)

Since June 1, 2023, contracts of adhesion must be presented in French first. Parties to a negotiated contract may choose English, but only after an express choice. Employment offers, contracts and many workplace documents must be available in French, so most Quebec rooms are organized bilingually.

04
Corporate and land records

Companies incorporate under the Quebec Business Corporations Act or the CBCA and register with the Registraire des entreprises, which has published ultimate beneficiary information since March 31, 2023. Land is recorded in the civil law Land Register of Quebec, and hypothecs on immovables must be made by notarial act.

FAQ

Does Law 25 stop a Quebec seller from using a data room hosted outside Quebec?

No, but it adds a step. Before personal information is communicated outside Quebec, including to servers in Ontario or the United States, the business must complete a privacy impact assessment under section 17 and confirm the information will get adequate protection. Record the assessment and put it in the room's compliance folder so buyers can see it was done.

Must the data room itself be in French?

The Charter of the French Language does not regulate the language of a data room interface. It does affect the documents inside: employment contracts, policies and contracts of adhesion generally must exist in French. Many Quebec sellers upload both versions and use a bilingual folder index so French and English reviewers work from the same structure.

Who usually runs the real estate side of a Quebec deal?

Notaries. Quebec is a civil law jurisdiction, and transfers of immovables and immovable hypothecs are made by notarial act. The notary searches the Land Register, prepares the deed and keeps the original. Deal teams usually give the notary a dedicated folder for title documents, servitudes, certificates of location and municipal tax accounts.
