Data room for angel investors in Canada

Raising from Canadian angels, a startup needs a short, tidy room: the pitch, cap table, incorporation and IP documents, financial model and, where it applies, proof that the company is registered for a provincial investor tax credit. Angel groups often review the room as a committee before a group investment.

How it works in Canada

Angel groups across Canada, many of them members of the National Angel Capital Organization (NACO), run structured processes: a screening meeting, a pitch to members, then a diligence team of volunteer investors who review the company's documents. A lead angel usually writes a short diligence report that other members read before committing. A shared room is the easiest way for that team to work, because members live in different cities and have day jobs.

Provincial tax credits change the economics for angels. In BC and Nova Scotia, for example, a qualifying investment can return a large share of the cheque as a tax credit, so angels ask early whether the company is registered and whether the round fits the program rules. The registration documents and certificates go in the room. Program rules differ on who qualifies, how long investors must hold and which sectors are eligible.

Angels also care about the lifetime capital gains exemption on a later sale, so they look at how the company is structured. A company must stay a qualified small business corporation for the exemption to apply when shares are sold, which limits passive assets and foreign control. Angels who have sold companies before will ask about this, and a short note from tax counsel in the room answers the question once for the whole group.

Canadian rules that apply

BC small business venture capital tax credit

Individuals investing in a BC eligible business corporation can claim a 30% refundable tax credit. Budget 2025 raised the annual cap to C$300,000 for investments made on or after March 4, 2025. The company must be registered with the province before shares are issued.

Nova Scotia Innovation Equity Tax Credit

Individuals investing in an approved Nova Scotia corporation get a 35% credit, or 45% in eligible ocean technology and life sciences businesses, on up to C$250,000 of investment a year. Approval and the tax credit certificate should be in the room before closing.

Accredited investor exemption

Angels usually invest under the NI 45-106 accredited investor exemption: for individuals, financial assets over C$1 million, net income over C$200,000 (C$300,000 with a spouse), or net assets of at least C$5 million. Individuals below the higher tiers sign Form 45-106F9.

  • Dynamic watermarks. The reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
  • Q&A module. Bidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.

How to set it up

  1. 1
Register for the tax credit before pitching

If your province offers an investor tax credit, apply before the round. In BC the company must be registered as an eligible business corporation; in Nova Scotia it needs approval under the Innovation Equity Tax Credit. Put the approval in the room.

  2. 2
    Prepare for the group process

Ask the angel group for its screening form and diligence checklist. Shape the room around it so the volunteer diligence team can work through the list without chasing you. Ask how long the review usually takes.

  3. 3
Give the diligence team its own access

Create a group for the angel diligence team with full access and a lighter group for other members who only need the summary, deck and diligence report. Remove members who decline to invest.

  4. 4
    Answer questions once

Angels in a group often ask the same question several times. Use the room Q&A so every member sees past answers, and keep the thread for the diligence report. It also reduces repeated calls.

  5. 5
    Collect investor documents at closing

Add the subscription agreements, accredited investor certificates, Form 45-106F9 where needed and tax credit forms to a closing folder. You will need them for the 45-106F1 filing and the tax credit claims.

Common mistakes

  • Issuing shares before the provincial tax credit registration is in place, which can cost angels the credit.
  • Sending the cap table as an email attachment to dozens of group members.
  • Not collecting accredited investor certificates and risk acknowledgements at closing.
  • Promising angels the lifetime capital gains exemption without tax advice on the company's eligibility.

FAQ

Which provinces offer tax credits to angel investors?

Several do, with different rules. BC has the small business venture capital tax credit at 30%. Nova Scotia has the Innovation Equity Tax Credit at 35%, or 45% for ocean technology and life sciences. Other provinces run their own programs, and terms change in provincial budgets, so check the current rules with the province before the round.

What does an angel group diligence team look at?

Mostly the basics: the company is properly formed, founders own their shares and IP, the cap table is clean, and the financial plan is believable. They also check customer evidence and the founders' backgrounds. A clear room helps volunteers finish their report quickly.

Do angels need to sign an NDA to see the room?

Many angel groups decline to sign NDAs at the screening stage. A common approach is to share a deck without one, then ask the diligence team to accept room terms of use before full access. Watermarking and the activity log add protection without slowing the group down.
