The deal market in Saskatchewan

Saskatchewan's deal market is built on what comes out of the ground. The province holds most of Canada's potash production, and Saskatoon is home to Nutrien and to Cameco, which mines uranium in the Athabasca Basin. Large projects such as BHP's Jansen potash mine and several uranium developments in the north produce engineering contracts, joint ventures, offtake deals and equity financings. Oil from the southeast and the heavy oil fields near Lloydminster adds asset sales handled much as they are in Calgary.

Agriculture is the other pillar. Saskatchewan farms grow a large share of Canada's wheat, canola, lentils and peas, and farm sizes keep growing as older owners retire. Land sales, farm corporation transfers and equipment dealership sales are common, and many families use the lifetime capital gains exemption for qualified farm property when they pass a farm on. Farm Credit Canada is headquartered in Regina. Agribusiness deals follow the farms: grain handling terminals, seed companies, pulse processors and equipment dealerships consolidate as their customers grow, and buyers check contracts with farmers and railways closely.

Regina is the seat of government and of the provincial Crown corporations, including SaskPower, SaskTel and SGI. Credit unions play a bigger role here than in most provinces, and mergers between them need careful member and regulatory diligence. Helium and lithium projects are newer sources of exploration financings. Crown corporation contracts, from power purchase agreements with SaskPower to telecom supply deals, often sit at the centre of a private company's value, so buyers want to see their terms, renewal dates and any change of control clauses before they bid.

Sectors that fill data rooms

Potash and uranium

Mine expansions, new shafts and joint ventures bring in large capital commitments. Rooms carry NI 43-101 reports, mineral leases with the province, surface lease agreements in the north, Canadian Nuclear Safety Commission licences and community agreements.

Oil and gas

Producers in the southeast Bakken and the Lloydminster heavy oil area buy and sell wells and facilities. Buyers need land schedules, reserve reports, licence transfers approved by the Ministry of Energy and Resources, and abandonment liability estimates.

Farmland and agribusiness

Grain farms, livestock operations, inland terminals and equipment dealers change hands as owners retire. Diligence covers land titles, crop insurance history, grain contracts, environmental approvals for intensive livestock and the farm security rules on ownership.

Credit unions and financial services

Credit union amalgamations and insurance agency sales need member approvals, deposit insurance filings and regulator consent. Rooms hold loan portfolio data, policies and procedures, IT contracts and member privacy controls.

Rules that touch the room

01
Financial and Consumer Affairs Authority

The FCAA's Securities Division administers Saskatchewan's Securities Act, 1988 and takes part in national instruments through the CSA. Mining and energy issuers follow NI 43-101 and NI 51-101 disclosure rules, and private placements use the NI 45-106 exemptions with exempt distribution reports filed after closing.

02
PIPEDA and HIPA

Saskatchewan has no general private-sector privacy statute, so PIPEDA and its section 7.2 business transaction exception apply to commercial deals. Trustees of personal health information, such as clinics, pharmacies and labs, are also bound by Saskatchewan's Health Information Protection Act.

03
Business Corporations Act, 2021 and ISC

Saskatchewan companies incorporate under The Business Corporations Act, 2021 and file with the Corporate Registry. Information Services Corporation (ISC) runs that registry along with the Land Titles Registry, a Torrens system, and the Personal Property Registry, so most searches in a deal go through ISC.

04
Farm Security Act ownership limits

Under The Saskatchewan Farm Security Act, non-Canadians and entities they control may hold no more than 10 acres of Saskatchewan farmland without an exemption from the Farm Land Security Board. Farmland buyers should confirm residency and control before closing, and rooms should hold the evidence.

FAQ

Can a foreign buyer purchase a Saskatchewan farm?

Only in a limited way. The Saskatchewan Farm Security Act caps holdings by non-Canadians and entities they control at 10 acres of farmland unless the Farm Land Security Board grants an exemption. Canadian residents and Canadian-controlled entities face no acreage limit. Include ownership and residency evidence in the data room so the buyer's lawyer can confirm the deal complies.

Why do Saskatchewan deal teams care about time zones?

Saskatchewan stays on Central Standard Time all year. In summer it lines up with Calgary and Edmonton, and in winter with Winnipeg. Teams scheduling Q&A deadlines or bid dates with Toronto or Calgary advisers should state the time zone on every deadline to avoid a one-hour mistake.

Is PST charged on data room software in Saskatchewan?

Yes. Saskatchewan applies its 6% PST to software, including software delivered online, in addition to the 5% GST. PST is not recoverable through input tax credits, so budget for it as a cost. A vendor making taxable sales into the province should be registered to collect it.
