How it works in Canada
Ontario procures new supply through the IESO's competitive programs. In April 2026 the IESO offered 20-year contracts to 14 solar and wind projects from the first window of its LT2 procurement, all with at least 50% Indigenous equity ownership. Alberta works differently: generators sell into the AESO-run energy-only market, often backed by corporate power purchase agreements, and project approvals come from the Alberta Utilities Commission.
Developers raise capital at several points: early development equity, construction loans, investment tax credit claims, and sale of operating assets to pension funds and infrastructure investors. Each investor wants the same core documents, from the revenue contract to the energy yield report, so a single structured room avoids rebuilding packages for every round and keeps answers consistent between the lender and the buyer.
Indigenous ownership is now standard on many projects. Communities often finance their stake with loan guarantees from the Canada Indigenous Loan Guarantee Corporation or the Alberta Indigenous Opportunities Corporation, or with Canada Infrastructure Bank loans. The partnership agreement, governance terms and community approvals are core diligence documents, and the community partner should have a say in how they are shared.

Canadian rules that apply
IESO contracts in Ontario
IESO long-term contracts set capacity or energy payments, development milestones and completion security. Buyers and lenders check milestone status, assignment consents and change-of-control provisions before a sale, since IESO approval may be needed before ownership changes.
Alberta Utilities Commission approvals
The AUC approves power plants and their connections in Alberta. Rules adopted after the 2023 to 2024 pause on renewable approvals added limits on projects on high-quality agricultural land and new reclamation security requirements. Diligence checks each approval against the current rules.
Clean Technology Investment Tax Credit
The federal refundable investment tax credit of up to 30% applies to eligible clean technology property such as wind, solar and stationary storage, with a reduced rate unless labour requirements on wages and apprentices are met. Buyers want evidence of eligibility and labour compliance.

- Q&A module. Bidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.
- Activity log. Per-user history of opens, prints and downloads with timestamps, which you can export for the closing binder.
- Dynamic watermarks. The reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
- Bulk upload. Upload an entire set of nested folders at once, with the index numbers kept as they were.
How to set it up
- 1Sort documents by project and phase
For a portfolio, give each project its own folder tree with the same subfolders. Mark each project's stage, from early development to commercial operation, so buyers can compare contracted and early assets side by side.
- 2Confirm contract consents early
Check the IESO contract or each PPA for assignment and change-of-control consents. Post a clause summary and your planned approach in the room so bidders can factor approval timing into their offers instead of conditioning on it.
- 3Involve the Indigenous partner
Agree with the community partner which documents go into the room, at what stage, and who can see them. Their counsel should review the access settings before any bidder enters, and the partner should get its own viewing group.
- 4Load independent engineer reports
Upload energy yield reports and the independent engineer's review together with the underlying met mast, irradiance or flow data. Lenders size debt on these numbers and usually ask for the raw data in the first week.
- 5Track ITC evidence
Keep a dedicated folder for investment tax credit eligibility, including equipment specifications, prevailing wage records and apprentice hours. Buyers want to see that the credit claimed will survive a CRA review after closing.
Common mistakes
- Missing an IESO or offtaker consent requirement until signing.
- Uploading Indigenous partnership terms without the partner's agreement.
- Giving bidders energy yield summaries without the data behind them.
- Leaving landowner option expiry dates untracked during a long sale.
FAQ
Who needs access to a renewable project data room?
Typically the buyer's development and engineering team, its lenders and their independent engineer, tax advisers checking investment tax credit eligibility, insurance advisers and legal counsel. The Indigenous partner and its advisers often need a view as well. Give each a separate permission group so you can see who reviewed what.
How are IESO contracts handled in a sale?
Most IESO contracts limit assignment or changes of control without the IESO's consent. The seller should post the relevant clauses and a plan for obtaining approval early in the process. Bidders then price the consent risk and timing up front rather than discovering it after signing and asking for a longer outside date.
What do lenders look for first?
Revenue contracts, interconnection status, independent energy yield reports, EPC terms and equipment warranties. For projects with Indigenous equity, they also check the partnership agreement and any loan guarantee terms, since those affect security, distributions and the cash waterfall. A complete room shortens credit approval considerably.
