How it works in Canada
Canadian fund managers in private equity, venture, real estate and private credit raise from pension plans, insurers, endowments, family offices, high net worth individuals and, for some strategies, through exempt market dealers. Institutional LPs run long diligence: track record attribution, team interviews, operational due diligence questionnaires and legal review of the LPA. Individual investors see a shorter set, usually through an exempt market dealer or a portfolio manager. Funds marketed in Quebec may also need French versions of key documents for some investors.
Funds are almost always limited partnerships formed under a provincial act, most often Ontario, Alberta or Manitoba, with a corporate general partner. The LP keeps limited liability only if it does not take part in control of the business, so the LPA and advisory committee rules get careful reading. Feeder and parallel funds for US, tax-exempt or foreign LPs add more documents to review.
A fundraising room typically runs for a year or more across several closes, so access, versions and LP-specific documents need careful handling. Prospects who drop out must lose access, while LPs who committed at first close need to see amendments made before final close. Each LP should only ever see its own subscription and side letter. Placement agents, where used, need their own group and a record of which investors they introduced.

Canadian rules that apply
NI 45-106 exempt distribution
Fund units are sold without a prospectus, mainly under the accredited investor exemption, with a minimum amount exemption available only to non-individuals. A Form 45-106F1 is filed within 10 days of each close, including purchaser details in a confidential schedule.
NI 31-103 registration
A manager directing a fund may need investment fund manager registration in Ontario, Quebec or Newfoundland and Labrador, and anyone in the business of selling units may need exempt market dealer registration. Many managers use a registered EMD to place units with individuals.
Provincial limited partnership acts
A limited partner who takes part in control of the business can lose limited liability under statutes such as the Ontario Limited Partnerships Act. LPA provisions on the advisory committee and LP votes are drafted with this in mind and get close review.

- Activity log. Per-user history of opens, prints and downloads with timestamps, which you can export for the closing binder.
- Dynamic watermarks. The reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
- Q&A module. Bidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.
- View and download rights. Choose, document by document, whether a guest may only read, may print or may download, and change it later.
- Single sign-on. Staff log in with the company directory (Okta, Microsoft Entra ID and similar) instead of a separate password.
How to set it up
- 1Check who may sell the units
Before any marketing, confirm with counsel whether the manager needs EMD or IFM registration or can rely on an exemption, and whether an outside EMD will place units with individuals. Record the analysis in the compliance folder.
- 2Tier the room by LP stage
Give prospects a first tier with the pitch book and PPM. Open track record detail and the DDQ once an LP enters real diligence, and the LPA drafts and side letter folder only when they are close to committing.
- 3Protect the track record
Deal-level returns and portfolio company names are sensitive. Use view-only access with watermarking and document rights controls so the files cannot be forwarded or printed freely. Disable printing on deal-level files.
- 4Manage several closes
For each close, freeze the LPA version that LPs signed and move subscription documents to the closing folder. File the Form 45-106F1 within 10 days and keep the receipt. Note the close date on each file.
- 5Handle side letters privately
Keep each side letter in that LP's private folder. At final close, prepare the MFN compendium and share it with eligible LPs only. Record which LPs elected each MFN term and when.
- 6Turn the room into the LP portal
After final close, archive marketing tiers and convert the room into the reporting portal for capital calls, distributions and quarterly reports. Keep the marketing archive read-only for the compliance file in case a regulator asks what was shown.
Common mistakes
- Marketing to individuals in Canada without registration or a registered EMD.
- Letting one LP see another LP's side letter or subscription amount.
- Changing the LPA after an early close without tracking which version each LP signed.
- Missing the 10-day Form 45-106F1 filing after a close in a province where only one LP lives.
FAQ
Do Canadian fund managers need to register to raise a fund?
It depends on the activity and province. Managing an investment fund can require investment fund manager registration in Ontario, Quebec or Newfoundland and Labrador. Selling units as a business can require exempt market dealer registration. Many managers sell to institutions under exemptions and use a registered EMD for individuals. Get a written opinion before marketing.
What do pension LPs review in a fund room?
Track record attribution, team stability, the LPA terms, operational controls and valuation policy. Canadian pension LPs often send their own DDQ and run onsite interviews. A complete operational folder, including cyber and privacy policies, shortens their review considerably. Expect questions on succession.
How long should a fund marketing room stay open?
Through final close, which can be a year or more. After that, archive the marketing materials, remove prospects who did not commit, and keep the room as the LP reporting portal. A clean archive of what each LP saw helps if questions arise later about what was disclosed.
