How it works in Canada
Most Canadian timber grows on Crown land. Companies hold rights to harvest through provincial tenures: forest licences and tree farm licences in British Columbia, forest management agreements in Alberta, sustainable forest licences in Ontario and timber supply guarantees in Quebec. A mill without secure fibre has little value, so buyers study the tenure, the annual allowable cut and any recent reductions before anything else.
The sector has seen mill closures, curtailments and consolidation, especially in BC's Interior, driven by lower allowable cuts after wildfire and mountain pine beetle damage and by US trade measures. Deals now include sales of single mills, transfers of tenure to First Nations and community forests, and sales of US sawmills owned by Canadian producers. Each needs a different slice of the same records.
Duties on softwood lumber exported to the United States are paid as cash deposits and adjusted after annual administrative reviews, and a separate Section 232 tariff was added on top in 2025. Billions of dollars in past deposits are still held, and who keeps any refund is a negotiated point in most sales. Buyers need entry-level duty records to price it.

Canadian rules that apply
BC Forest Act section 54
A disposition of a BC forest tenure has no effect unless the minister approves it in writing, and the minister can attach conditions to that approval. Counsel should confirm whether a share purchase or change of control also triggers review under the current Act and ministry policy.
Softwood lumber duties
US antidumping and countervailing duties on Canadian softwood lumber are paid as cash deposits at rates reset by annual reviews, and a Section 232 tariff applies on top. Purchase agreements state who keeps refunds of past deposits if an appeal or settlement returns them.
Pulp and Paper Effluent Regulations
Pulp mills discharging effluent are regulated under the federal Fisheries Act through these regulations, alongside provincial air and water permits. Buyers review monitoring results, environmental effects monitoring reports and any enforcement history before signing.

- Dynamic watermarks. The reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
- Activity log. Per-user history of opens, prints and downloads with timestamps, which you can export for the closing binder.
- Q&A module. Bidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.
- View and download rights. Choose, document by document, whether a guest may only read, may print or may download, and change it later.
How to set it up
- 1Start with the tenure file
Collect every licence, its allowable cut and the most recent cut determinations. Map each tenure to the mill it supplies so buyers can see fibre security site by site, including volumes bought on the open market.
- 2Document duty deposits by entry
Export a ledger of softwood lumber duty deposits by customs entry and review period, with the rate applied. Buyers need this to value the refund entitlement and to agree in the purchase agreement who keeps it.
- 3Flag regulatory approvals
List every consent the deal needs: the forests minister's approval, environmental permit transfers and any consents in First Nations agreements. Post the list early so bidders can plan their timelines and conditions around it.
- 4Separate mill and woodlands reviewers
Mill engineers review equipment and capacity, while foresters review tenure, silviculture and roads. Separate permission groups keep each team focused and give the seller a clean record of who reviewed which assets.
- 5Keep silviculture liabilities visible
Post reforestation and road deactivation obligations with cost estimates and free growing status. Buyers find these liabilities anyway, and early disclosure avoids a last-minute price reduction or a special indemnity.
Common mistakes
- Treating duty deposit refunds as an afterthought rather than a priced item in the purchase agreement.
- Overlooking that a tenure transfer needs written ministerial approval.
- Hiding allowable cut reductions that change the mill's fibre supply.
- Sharing First Nations revenue sharing terms without checking the agreement's confidentiality clause.
FAQ
Can a BC forest licence be sold freely?
No. Section 54 of the Forest Act says a disposition has no effect without the minister's written approval, and the minister can attach conditions. Change of control can also draw review. Put the tenure documents and an approvals plan in the room so buyers understand the timing and the risk of conditions.
How are softwood lumber duty deposits handled in a sale?
Parties negotiate who receives refunds of past cash deposits if rates fall on review or a settlement returns them. The data room should show deposits paid by entry and period, so the buyer can value the entitlement and the purchase agreement can allocate it clearly.
What do buyers check about Indigenous relations?
Revenue sharing and forest consultation agreements, joint ventures with First Nations, any shared decision-making arrangements and records of consultation on cutting permits. These affect fibre access and the speed of future harvest approvals, so buyers read them alongside the tenure file rather than as a separate topic.
