Data room for fintech deals in Canada

A fintech data room shows a buyer or investor that a Canadian payments, lending or wealth platform holds the right registrations and runs a working compliance program. Expect questions on FINTRAC registration, Bank of Canada registration under the Retail Payment Activities Act, Quebec money services licensing and anti-money laundering controls.

How it works in Canada

Canadian fintech activity centres on Toronto, Montreal, Vancouver and Calgary, covering payments, lending, wealth management, crypto asset trading and banking software. Deals range from venture rounds to acquisitions by banks, payment processors and foreign platforms entering Canada. Because so many fintechs touch customer money, investors read the compliance folders as closely as the financials, and a single gap in registration can stop a round.

Regulation is split between Ottawa and the provinces. FINTRAC registers money services businesses and supervises anti-money laundering compliance. The Bank of Canada supervises payment service providers under the Retail Payment Activities Act, which requires registration and, since September 8, 2025, risk management and funds safeguarding frameworks. Quebec licenses money services businesses through the AMF. Lenders face provincial consumer protection and cost of credit rules, and investment platforms answer to securities regulators and CIRO.

Open banking adds a future-facing question. The federal consumer-driven banking framework was rebuilt in the Budget 2025 implementation act, which received royal assent on March 26, 2026, and several implementation steps remain. Buyers of a data aggregator or lending platform will ask how the company accesses bank data today, often through credential sharing, and how it plans to move to the accredited framework once it is live.

Canadian rules that apply

Proceeds of Crime (Money Laundering) and Terrorist Financing Act

Money services businesses must register with FINTRAC, run a compliance program with a named officer, risk assessment, training and a two-year effectiveness review, and report large and suspicious transactions. Buyers check registration status and FINTRAC examination findings.

Retail Payment Activities Act

Payment service providers in scope must register with the Bank of Canada. Since September 8, 2025 they must keep operational risk and incident response frameworks and safeguard end-user funds, and they file annual reports.

Quebec Money-Services Businesses Act

Money services businesses operating in Quebec need a licence from the Autorité des marchés financiers, and the AMF checks the people who own and run them. A change of ownership can trigger new filings.

Consumer-Driven Banking Act

The federal open banking statute was replaced through Bill C-15 in 2026. It sets accreditation and common rules on security, liability and consent for sharing financial data, but key parts still await implementation through regulations and accreditation.

  • Activity log. Per-user history of opens, prints and downloads with timestamps, which you can export for the closing binder.
  • 2-step login. Logins need a one-time code or authenticator approval on top of the password.
  • Dynamic watermarks. The reader's identity and the date are printed across every page, which discourages screenshots and identifies the source of a leak.
  • Q&A module. Bidders post questions inside the room; counsel or the CFO drafts the reply, someone approves it, and every exchange stays on file.
  • Single sign-on. Staff log in with the company directory (Okta, Microsoft Entra ID and similar) instead of a separate password.

How to set it up

  1. 1
    Lead with a registration map

Start the room with a one-page map of each product, the activity it performs and the registration or licence that covers it, federal and provincial. Investors use this page to frame every later question, and gaps on it are easy to spot.

  2. 2
    Show the compliance program working

Upload not just policies but evidence: training completion, transaction monitoring alerts handled, the latest effectiveness review and how its findings were closed. Paper programs without evidence draw follow-up requests and slow the round.

  3. 3
    Prove funds are safe

Put trust account agreements and monthly reconciliations in one folder. Since the RPAA safeguarding duty took effect, buyers expect proof that end-user funds are held apart from operating cash, with daily or monthly reconciliations to back it up.

  4. 4
    Limit access to examination reports

FINTRAC and AMF examination findings are sensitive. Release them only to the lead investor or final bidder and their counsel, view-only with watermarks and download blocking, and record each person who opened them.

  5. 5
    Plan regulatory notices

List every regulator that must be told about, or approve, a change of control and the lead time for each. Add the draft notices to the room so the closing checklist is realistic.

Common mistakes

  • Assuming a sponsor bank’s registration covers the fintech’s own payment activities.
  • Running an AML program with no completed two-year effectiveness review.
  • Missing Quebec licensing because customers in Quebec signed up online.
  • Commingling customer funds with operating accounts.

FAQ

Does every Canadian fintech need RPAA registration?

No. The Act covers entities that perform retail payment functions for end users as a business, not incidentally to another business, with a place of business in Canada or serving Canadian end users. Banks, credit unions and some other regulated entities are excluded. Get a written scoping opinion and put it in the room; investors will ask.

What happens to FINTRAC registration on a sale?

Registration belongs to the entity. In a share sale the registered entity continues, but changes to ownership, directors and compliance officer must be reported to FINTRAC within the set deadline. In an asset sale the buyer needs its own registration before it runs the business. Plan this into the closing timeline.

Is open banking live in Canada?

Not fully. The Consumer-Driven Banking Act was rebuilt in the Budget 2025 implementation act, which received royal assent in March 2026, but accreditation and other implementation steps were still in progress. Many companies still rely on credential sharing or bank data agreements, and investors want a plan for moving to the federal framework.
